AAA SHOW YOUR CARD & SAVE® AGREEMENT

Agreement made between the American Automobile Association, Inc. (hereinafter referred to as "AAA"), 1000 AAA Drive, Heathrow, FL 32746 and Solutia Automotive Film Dealer (hereinafter referred to as "[Dealer]"). 

WHEREAS, AAA and Dealer desire for Dealer to provide a discount offer to the members of AAA and affiliated Clubs (as defined below), through various means; and

WHEREAS, Dealer desires a license to use the Show Your Card & Save®service mark to promote the offer, in accordance with the terms and conditions described herein.

NOW, THEREFORE, it is hereby mutually agreed as follows:

DEFINITIONS

 "Club(s)" shall mean motor Clubs affiliated with AAA, but which are separate legal entities from AAA.

" Member(s)" shall mean any consumer that is a member of any Club.

1. LICENSE TO USE MARK
1. AAA grants to Dealer a non-exclusive license to use the Show Your Card & Save®service mark subject to the terms of this Agreement.  Dealer agrees to use the Show Your Card & Save® mark solely for the purpose of identifying itself as a participant in the Show Your Card & Save® discount program.
2. Dealer grants to AAA a non-exclusive license to use its trademarks solely for the purpose of this discount program.
3. Dealer agrees to use the Show Your Card & Save® mark only in accordance with such rules and regulations as AAA may establish from time to time.
4. The AAA Emblem and the Show Your Card & Save® mark are the property of the American Automobile Association, Inc. Upon termination of this Agreement, both parties agree to discontinue immediately the use of each other’s trademarks in any manner whatsoever and to surrender any material containing such marks.
   
   
2. TERMINATION

This Agreement and the licenses granted to Dealer and AAA may be terminated by either party at any time upon not less than sixty (60) days prior written notice to the other.
