Program Rules

Discount

1. Dealer shall offer a fifteen percent (15%) discount off of all LLumar® and FormulaOne® automotive film product, and all installation services for such film products, to each AAA Member that presents a valid current AAA Membership number.
2. The discount cannot be combined with any other coupon or promotional offer and will not be valid on prior purchases or on the purchase of gift cards.
3. If a better offer is available at time of purchase, such offer shall replace the Program discount.

Information

1. For each discount provided to a AAA Member under the Program, Dealer shall obtain and record the following information:
1. Customer Name
2. Customer AAA Number
3. Series of Film Installed
4. Installed Film Roll Lot #
5. Installation Date
2. The required information shall be provided to Solutia in a form specified by Solutia.
3. Complete and accurate information must be provided to Solutia in order for Dealer to receive payment on a claim reimbursement and for continued participation in the Program.

Reimbursement

1. Solutia will reimburse Dealer for a portion of the discount provided to AAA members under the Program in accordance with a reimbursement schedule published by Solutia from time to time.
2. Dealer shall make each claim for reimbursement in a form specified by Solutia.
3. Reimbursement will be issued via credit memo within thirty (30) days of Dealer’s properly completed claim submission.
4. All reimbursement claims must be submitted by February 28 for each year for all prior year’s AAA-related sales.  Claims received after the deadline will not be eligible for payment.
5. Submission of incomplete claim forms may result in delay or nonpayment of claims.

Marketing Support

1. As Solutia may instruct from time to time, Dealer will hold one-day special AAA Member/employee offers of an additional five percent (5%) off of their entire purchase for that day only.
2. Dealer shall maintain reasonable quantities of Program promotional materials and shall display such materials in a prominent place at Dealer’s location.

Trademarks

1. Dealer is granted a non-exclusive license to use the Show Your Card & Save service mark (the “Mark”) subject to all applicable laws, agreements and rules, including all rules established by AAA (which rules are subject to revision from time to time without notice).
2. Dealer may only use the Mark solely for the purpose of identifying itself as a participant in the Program and may not use the Mark for any other purpose.
3. The Mark may not be altered, modified, animated or combined with other design elements.
4. Dealer may not display or use any other AAA trademark without AAA’s prior written consent.
5. Dealer shall have no right to use the AAA Emblem or the mark “AAA: apart from the Mark.
6. Dealer shall display the Mark at its location in the front windows or on the entry doors, or at the cash register.  Dealer shall relocate or remove displays of the Mark upon AAA’s or Solutia’ request.
7. Dealer grants AAA a non-exclusive license to use Dealer’s trademarks solely for the purpose of the Program.
8. Upon termination of Dealer’s participation in the Program, both parties agree to discontinue the use of each other’s trademarks in any manner whatsoever and to surrender any material containing such marks.

Inspection

1. Dealer shall permit AAA and/or Solutia, upon reasonable advance notice and during normal work hours, to inspect Dealer’s facilities in order to observe Dealer’s participation in the Program, including without limitation, the manner in which the Marks are displayed and the manner in which AAA Members are being served by Dealer.

Indemnification

1. Dealer shall indemnify, defend and hold harmless Solutia and AAA, and their respective parent, subsidiaries, affiliates, licensees, officers, directors, agents, employees, successors and assigns from and against all damages, losses and expenses, including, but not limited to, reasonable attorneys’ fees and costs, arising from any suit or claim arising or alleged to have arisen out of Dealer’s actions or failure to act in connection with Dealer’s participation in the Program.

Termination

1. AAA may terminate Dealer’s participation in the program at any time upon not less than sixty (60) days prior written notice.
2. The Program is of limited duration and is subject to modification or termination at any time by Solutia or AAA without notice.
3. These Program Rules are subject to modification by Solutia at any time without notice.
